Welcome to FireMics. These Terms of Service ("Terms") govern your access to and use of the FireMics website located at https://www.firemics.com (the "Site"), operated by MDIGITAL INC., a New York corporation ("Company", "we", "us", or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Acceptance of Terms

By accessing or using FireMics, you confirm that you are at least 13 years of age, that you have read and understood these Terms, and that you agree to be legally bound by them. If you are using the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

FireMics is an open mic event directory that allows performers, hosts, and venue operators to discover, list, and manage comedy open mic events. The Site provides tools for hosts to claim and manage their listings, and for performers to find upcoming events by location, date, and type. FireMics is a directory service only — we do not organize, operate, or guarantee the occurrence of any listed event.

3. User Accounts

To access certain features of the Site, you may be required to create an account. You agree to:

  • Provide accurate, complete, and current information when registering.
  • Maintain the security of your password and accept responsibility for all activity that occurs under your account.
  • Notify us immediately at firemics.com/contact if you become aware of any unauthorized use of your account.
  • Not share your account credentials with any third party.
  • Not create accounts under false identities or impersonate any person or entity.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, at our sole discretion.

4. Event Listings and Host Responsibilities

Hosts who claim or create event listings on FireMics agree to:

  • Provide accurate and up-to-date information regarding their events, including time, location, cost, and format.
  • Promptly update or remove listings when events are cancelled, rescheduled, or otherwise changed.
  • Only claim listings for events they own or operate, or for which they have express permission from the organizer.
  • Not list events that are fraudulent, fictitious, or intended to deceive performers or attendees.

FireMics reserves the right to remove, edit, or deactivate any listing that we determine, in our sole discretion, to be inaccurate, misleading, fraudulent, inactive, or in violation of these Terms.

5. User-Generated Content

FireMics may allow users to submit content including event descriptions, venue details, photos, and other materials ("User Content"). By submitting User Content, you:

  • Represent that you own or have the necessary rights to submit the content and that it does not infringe any third-party rights.
  • Grant MDIGITAL INC. a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, modify, and distribute your User Content in connection with operating and promoting the Site.
  • Acknowledge that we do not claim ownership of your User Content and that you retain all ownership rights.

We do not endorse any User Content and are not responsible for its accuracy, completeness, or legality. We reserve the right to remove any User Content at any time, for any reason, without notice.

6. Prohibited Conduct

You agree not to use the Site to:

  • Post or transmit content that is unlawful, defamatory, harassing, abusive, fraudulent, obscene, or otherwise objectionable.
  • List fictitious or "ghost" events designed to deceive performers or attendees.
  • Use automated bots, scrapers, crawlers, or other tools to collect data from FireMics without our express written permission.
  • Attempt to gain unauthorized access to any portion of the Site or its related systems.
  • Interfere with or disrupt the integrity or performance of the Site or its infrastructure.
  • Use the Site for any commercial purpose not expressly authorized by us in writing.
  • Impersonate any person or entity, or falsely claim an affiliation with any person or entity.
  • Violate any applicable local, state, national, or international law or regulation.

7. Intellectual Property

All content on the Site that is not User Content — including but not limited to the FireMics name and logo, website design, layout, graphics, text, software, and code — is the property of MDIGITAL INC. and is protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any such content without our prior written permission.

"FireMics" is a trademark of MDIGITAL INC. Unauthorized use of our trademarks is prohibited.

8. DMCA and Copyright Policy

If you believe that content on FireMics infringes your copyright, please send a written notice to us via our Contact Page with the following information:

  • A description of the copyrighted work you claim has been infringed.
  • A description of where the allegedly infringing material is located on the Site.
  • Your contact information, including name, address, telephone number, and email address.
  • A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  • A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf.
  • Your electronic or physical signature.

We will respond to valid DMCA notices and remove infringing content in accordance with applicable law.

9. Third-Party Links and Services

The Site may contain links to third-party websites or services, including venue websites, social media pages, and ticketing platforms. These links are provided for your convenience only. MDIGITAL INC. has no control over the content or practices of third-party sites and is not responsible for their terms, privacy policies, or any damages that may arise from your use of them. Accessing third-party links is at your own risk.

10. Disclaimer of Warranties

THE SITE AND ALL CONTENT, LISTINGS, AND SERVICES PROVIDED THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MDIGITAL INC. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or timeliness of any event listings or other content on the Site. Event details are often provided and managed by third-party hosts, and you are encouraged to verify all event information directly with the host or venue before attending.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MDIGITAL INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SITE OR ITS CONTENT.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless MDIGITAL INC. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or in connection with: (a) your use of the Site; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of the Site shall be resolved by binding arbitration administered in New York County, New York, in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.

14. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we do, we will revise the "Last updated" date at the top of this page. If we make material changes, we may also provide notice through the Site or via email. Your continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

15. Termination

We may suspend or terminate your access to the Site at any time, with or without cause, and with or without notice. Upon termination, your right to use the Site will immediately cease. Provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property, disclaimers, indemnification, and limitation of liability — shall survive.

16. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and MDIGITAL INC. regarding your use of the Site and supersede all prior agreements and understandings.
